Foteza — Business Terms of Service

Effective Date: April 25, 2026

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR USING THE FOTEZA PLATFORM AS A BUSINESS, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

1. About Foteza

Foteza Inc. ("Foteza," "we," "us," or "our") operates the Foteza mobile application and web services (the "Platform"). The Platform connects businesses ("you," "Business") with content creators ("Creatives") to produce user-generated content, manage marketing campaigns, capture leads through automated Instagram DM funnels and lead forms, drive mobile app installs through verified creator attribution, and track Shopify sales attributed to creator discount codes.

2. Account Eligibility & Registration

To use the Platform you must:

• Have legal authority to bind your business

• Provide accurate, current, and complete account information

• Maintain the security of your login credentials — you are responsible for all activity under your account

• Notify us immediately at support@foteza.com of any unauthorized use

Foteza reserves the right to suspend or terminate accounts that violate these Terms.

2.1 Age Requirement. You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Platform. By creating an account you confirm you meet this requirement. Foteza does not knowingly permit accounts for persons under 18.

3. Campaign Creation & Management

3.1 Campaigns. You may create marketing campaigns that specify content requirements, locations, channels, timelines, budgets, and compensation rates for Creatives.

3.2 Accuracy. You represent that all campaign information is truthful, non-deceptive, and complies with applicable laws. You must not create campaigns for illegal, defamatory, or harmful content.

3.3 Approval. By publishing a campaign, you acknowledge that Creatives may apply and that you are financially responsible for the agreed compensation once a Creative is accepted and delivers approved content.

3.4 Content Rights. You grant Foteza a non-exclusive licence to display campaign briefs on the Platform for matching purposes. Content produced by Creatives is governed by the deliverable agreement in each campaign. You acknowledge that Foteza does not guarantee the Creative's content does not infringe third-party rights; such responsibility lies with the Creative.

3.5 Platform Fees. Foteza charges a service fee on each campaign payout. The applicable fee percentage is displayed in the app before you initiate a payment. Fees are non-refundable once a payout has been processed. Fees are subject to change with 14 days' notice.

3.6 App Install Campaigns. Foteza supports performance campaigns measured by verified mobile-app installs. To enable install tracking you must provide:

• (a) Your Apple App Store App ID and Provider Token (for iOS campaign links), and

• (b) An App Store Connect API key (Key ID, Issuer ID, and .p8 private key file) so that Foteza's systems can retrieve install data from Apple's Analytics Reporting API

You represent that you are the owner or authorized administrator of the App Store Connect account you connect to Foteza, and that you have the right to grant Foteza read-only access to its analytics data. Install counts are reported by Apple with a 24–72 hour delay; payout calculations are based on the install data received by Foteza, not on real-time figures.

3.7 Install Rate & Payout Obligation. When you create an App Install Campaign you specify a dollar amount per verified install ("Install Rate"). You agree to pay the Install Rate for each install attributed by Apple's Campaign Analytics to your campaign, subject to Foteza's fraud-detection review. Install earnings are included in the weekly payout cycle.

3.8 Shopify Purchase Attribution Campaigns. Foteza supports performance campaigns measured by verified Shopify purchases. To enable Shopify attribution you must:

• (a) Provide your Shopify store domain and authorize Foteza to access your Shopify Admin API via an access token

• (b) Keep your Shopify store active and publicly accessible during the campaign period

Foteza generates a unique discount code for each creator participating in your campaign via the Shopify Price Rules API. When a customer uses a creator's code at checkout, Shopify sends a webhook notification to Foteza which is used solely to calculate and issue creator commissions ("Commission Rate"). You agree to pay the Commission Rate for each verified purchase attributed to a creator's discount code.

You are solely responsible for your Shopify store's order processing, fulfillment, pricing accuracy, and customer experience. Foteza is not liable for fraudulent orders, chargebacks, refunds, product disputes, or any issue between you and your customers. Refunded or cancelled orders may be deducted from creator commission calculations at Foteza's discretion. Discount codes generated by Foteza may be shared or discovered by persons other than the intended creator; Foteza will disable compromised codes upon written notice to support@foteza.com but is not liable for unauthorized code usage that occurred before notice.

3.9 Deliverable Review & AI Assessment. Foteza's platform may use AI tools to pre-screen submitted creative deliverables for quality indicators and provide an initial assessment to you. AI-generated scores are advisory tools only — you retain full discretion to approve or reject any deliverable regardless of AI score. Foteza is not liable for AI false positives, false negatives, or decisions you make based on AI assessments. You must review submitted deliverables within 7 days of submission. Foteza reserves the right to auto-approve deliverables that remain unreviewed beyond 14 days.

3.10 Fozi AI Assistant. The Platform includes an AI-powered chat assistant ("Fozi AI") that provides content strategy suggestions, campaign guidance, and business insights. Fozi AI responses are generated by automated AI systems and are not professional legal, financial, or marketing advice. You use Fozi AI at your own risk. Foteza is not liable for business decisions made in reliance on Fozi AI outputs.

4. Lead Capture & Auto-DM System

4.1 Auto-DM Feature. Foteza integrates with the Late API and Instagram's Messenger platform to enable automated private replies when a specified keyword is commented on your Instagram content.

4.2 Your Responsibility. You are solely responsible for ensuring your use of the Auto-DM feature complies with Instagram's Platform Policies, Meta's Terms of Service, and all applicable anti-spam, privacy, and consumer protection laws. Foteza is a technology provider only and is not responsible for any enforcement action taken by Meta against your account.

4.3 Lead Forms. Lead form pages (app.foteza.com/l/...) collect name, email, phone, and a short video or audio introduction from prospective customers ("Leads"). By activating a lead form you represent that you have a lawful basis to collect this data from members of the public and that you maintain an appropriate privacy policy for your customers.

4.4 Lead Verification. Leads are automatically processed using AI (face detection, speech-to-text) to generate a verification score. A score of 50 or above is marked "Verified." Unverified leads are flagged for your manual review. AI verification is a decision-support tool only — you bear responsibility for all business decisions made based on lead data.

4.5 Auto-Qualification. Verified leads are automatically moved to "Qualified" status 48 hours after submission unless you manually reject them first. By accepting these Terms you acknowledge this workflow.

4.6 Data Handling. Lead data is stored securely in your campaign. You are the data controller for your leads' personal information and must handle it in accordance with applicable privacy laws (GDPR, PIPEDA, CCPA, etc.). Foteza acts as a data processor on your behalf.

5. Payments, Billing & Payouts

5.1 Payment Processing. All payments are processed by Stripe, Inc. By using the payment features you agree to Stripe's Terms of Service (stripe.com/terms). Foteza does not store full payment card details.

5.2 Creative Compensation. When you approve a Creative's deliverable, funds are transferred to the Creative via Stripe Connect, net of Foteza's service fee. Approval of a deliverable constitutes your irrevocable authorization to initiate the transfer.

5.3 Weekly Performance Billing. Performance-based earnings (per-view, per-lead, per-install, per-Shopify-sale) accrued by Creatives during a campaign week are calculated and billed to your payment method on a weekly cycle (Friday). By creating a performance campaign, you authorize Foteza to charge your payment method on file for these weekly performance amounts.

5.4 Filming Session Billing. Filming sessions logged by Creatives on approved campaigns are billed to your payment method at the agreed hourly rate. You will receive a billing summary for each approved session. Session disputes must be raised at support@foteza.com within 7 days of the session date; otherwise the charge is deemed accepted.

5.5 Payment Settlement Delays. Stripe may place a temporary hold on newly charged funds (typically 2–7 business days for card charges). During this settlement period, Creative payouts may be queued rather than transferred immediately. Foteza's automated systems retry queued payouts daily until funds settle. This delay is a Stripe policy constraint and does not constitute a breach by Foteza.

5.6 Disputes. Any payment disputes must be raised within 30 days of the transaction date by contacting support@foteza.com. Foteza is not responsible for disputes arising from agreements between you and a Creative made outside the Platform.

5.7 Taxes. You are responsible for all applicable taxes on amounts you pay through the Platform, including any sales tax, GST/HST, or VAT on Platform service fees.

5.8 Performance Payout Rates. Where campaigns include performance-based compensation (per-view rates, per-lead bonuses, per-install rates, per-Shopify-sale commissions, minimum view thresholds, and maximum earning caps), the applicable rates are displayed in-app at campaign creation and in your campaign settings. Rates already locked into an active campaign are not retroactively changed during the campaign period.

5.9 No Guarantee of Results. Foteza does not guarantee any minimum number of views, leads, installs, or Shopify sales from any campaign. Creator performance and content results are not within Foteza's control.

6. Advertising Disclosure & FTC Compliance

When Creatives post content on their social media accounts as part of a paid Foteza campaign, applicable advertising laws (including FTC guidelines in the US, ASA in the UK, and equivalent regulations in Canada and other jurisdictions) require clear disclosure of the paid relationship. You are responsible for ensuring that your campaign brief instructs Creatives to make required disclosures (e.g., #Ad, #Sponsored, or "Paid partnership"). Foteza provides disclosure reminder language in campaign templates but is not liable for a Creative's failure to disclose or for any regulatory action resulting from non-disclosure.

7. Creator Accountability & View Fraud Protection

7.1 Creator Agreements. Creatives using the Platform have expressly agreed that they will never purchase, solicit, or artificially inflate views, likes, followers, comments, Shopify purchases, app installs, or any other engagement metric ("Fake Engagement") in connection with any Foteza campaign.

7.2 Foteza's Monitoring. Foteza's platform monitors campaign analytics for anomalous engagement patterns, including but not limited to: abnormal view velocity, disproportionately low engagement-to-view ratios, sudden unexplained spikes, and statistical inconsistencies compared to a Creative's historical performance. This monitoring does not guarantee detection of all fraudulent activity, but we investigate all flagged cases.

7.3 Consequences for Detected Fraud. If Foteza determines, in its reasonable judgment, that a Creative has purchased Fake Engagement in connection with your campaign:

• (a) The Creative's account will be immediately suspended and permanently banned from the Platform

• (b) You will receive a refund equal to the portion of the payout attributable to the fraudulently obtained metrics, calculated based on Foteza's internal analytics at the time of detection. Refunds will be processed within 7 business days.

• (c) Foteza will provide you with a written summary of the fraud finding upon request

7.4 Limitations. Foteza does not guarantee detection of all forms of Fake Engagement. Refunds are limited to amounts actually paid to the Creative for the affected campaign and do not include consequential or incidental damages. Foteza's fraud protection applies only to campaigns managed and paid through the Platform.

7.5 Business Reporting. If you suspect a Creative has purchased Fake Engagement or manipulated Shopify orders or app install data, you must report it to support@foteza.com within 30 days of the suspected activity. Foteza will investigate within 10 business days.

8. Acceptable Use

You agree not to:

• Post unlawful, harmful, or misleading content or campaign briefs

• Harass, abuse, or discriminate against any Creative or user

• Use automated tools to scrape or extract Platform data

• Attempt to reverse engineer or tamper with the Platform

• Circumvent any payment obligations by transacting with Creatives outside the Platform

• Use the Platform to collect customer personal data in violation of applicable privacy laws

• Provide false or misleading Shopify store credentials or API keys

Violations may result in immediate account termination and may be reported to relevant authorities.

9. Indemnification

You agree to indemnify, defend, and hold harmless Foteza, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your campaign content, briefs, or instructions to Creatives; (c) your use of the Auto-DM or lead capture features; (d) your Shopify store's products, orders, customer disputes, or chargebacks; (e) your violation of these Terms; or (f) your violation of any third-party rights or applicable laws.

10. Intellectual Property

Foteza retains all rights to the Platform, including its design, code, trademarks, and proprietary technology. Nothing in these Terms grants you a right to Foteza's intellectual property beyond a limited licence to use the Platform as intended.

11. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS." FOTEZA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED SERVICE.

FOTEZA IS NOT RESPONSIBLE FOR: THE ACTIONS, CONTENT, OR CONDUCT OF ANY CREATIVE; THIRD-PARTY PLATFORM OUTAGES (STRIPE, SHOPIFY, META, APPLE, GOOGLE, LATE API); AI ASSESSMENT ACCURACY; SOCIAL MEDIA ALGORITHM CHANGES AFFECTING CAMPAIGN REACH; OR ANY BUSINESS OUTCOMES RESULTING FROM CAMPAIGNS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOTEZA'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU TO FOTEZA IN THE 3 MONTHS PRIOR TO THE CLAIM OR (B) CAD $100.

FOTEZA IS NOT LIABLE FOR (I) LOSS OF PROFITS OR REVENUE, (II) LOSS OF DATA, (III) INDIRECT OR CONSEQUENTIAL DAMAGES, OR (IV) THE ACTIONS OR CONTENT OF ANY CREATIVE OR THIRD PARTY.

12. Term & Termination

These Terms remain in effect for as long as you use the Platform. Either party may terminate at any time. Upon termination, any outstanding payment obligations survive. Foteza will disable any API integrations (Shopify, Apple) upon account termination.

13. Changes to These Terms

We may update these Terms at any time. We will notify you via the app or email. Continued use of the Platform after the effective date of changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the Province of Manitoba, Canada, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Winnipeg, Manitoba.

1. About Foteza

Foteza Inc. ("Foteza," "we," "us," or "our") operates the Foteza mobile application and web services (the "Platform"). As a Creative, you use the Platform to discover brand campaigns, apply to create content, deliver videos, drive app installs, earn Shopify sale commissions, and receive payment for your work.

2. Account Eligibility & Registration

To use the Platform you must:

• Provide accurate account and profile information

• Maintain the security of your login credentials

• Not share your account with others

Foteza reserves the right to suspend accounts that violate these Terms or produce content that fails to meet quality standards.

2.1 Age Requirement. You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Platform. By creating an account you confirm you meet this requirement. Receiving payments through Stripe Connect also requires you to be of legal age in your jurisdiction.

3. Campaign Applications

3.1 Applying. By submitting an application to a campaign, you represent that:

• You meet the stated campaign requirements (location, style, equipment, etc.)

• Your proposed rate is within the business's stated range

• You are available to begin within the specified timeline

3.2 Application Review. Businesses review applications at their discretion. An application does not guarantee selection.

3.3 Acceptance. Once accepted, you enter into a content production agreement with the business, subject to these Terms. You must not accept campaigns you do not intend to complete.

3.4 Cancellations. Repeated cancellations or no-shows may result in account suspension or removal from the Platform.

4. Content Creation & Deliverables

4.1 Quality. You agree to produce content that meets the campaign brief and Foteza's quality standards. Content must be original, filmed by you, and not previously submitted to another campaign.

4.2 Content Licence. By uploading content to the Platform, you grant the business a worldwide, royalty-free licence to use the delivered content for the purposes specified in the campaign brief. You retain ownership of your original work but cannot re-sell the same deliverable to a competitor.

4.3 Prohibited Content. You must not create or submit content that:

• Is defamatory, obscene, or violates any person's rights

• Infringes third-party intellectual property

• Depicts illegal activity

• Is AI-generated or stock footage presented as original content

• Is created under the influence of substances that impair judgement

4.4 Filming Sessions. The Platform includes a filming timer tool to log session hours for billing purposes. You are solely responsible for your personal safety and the safety of others during all filming activities. Foteza does not supervise filming sessions. You must comply with all applicable laws while filming, including property access, privacy, traffic, and safety laws. Foteza is not liable for any injuries, accidents, property damage, or legal violations that occur during filming activities.

4.5 AI Deliverable Review. Your submitted deliverables may be processed by AI tools to generate a quality assessment score which is shared with the reviewing business as a guidance tool. An AI assessment result does not constitute a final rejection — final approval or rejection is the business's decision. You agree that AI review results associated with your deliverables may be stored and disclosed to the business reviewing your submission.

4.6 Revisions. Businesses may request reasonable revisions to your submitted deliverables within the timeframe specified in the campaign. Revision requests are not refusals of payment for work already completed; you will be compensated for approved work regardless of revision history.

5. Payment & Stripe Connect

5.1 Stripe Connect. Payouts are made via Stripe Connect. You must connect a valid Stripe account to receive payment. By connecting Stripe you agree to Stripe's Connected Account Agreement (stripe.com/connect-account/legal).

5.2 Payout Timing. Funds are transferred after the business approves your deliverable. Stripe standard processing times apply (typically 2–7 business days). Foteza's automated systems retry queued transfers daily during Stripe settlement periods; delays during this window do not constitute a breach by Foteza.

5.3 Platform Fee. Foteza deducts a service fee from each payout. The fee percentage is displayed in the app before you accept a campaign.

5.4 Taxes. You are an independent contractor. You are solely responsible for reporting and paying all applicable income taxes, sales taxes, and self-employment taxes on amounts you earn through the Platform. Foteza does not withhold taxes on your behalf.

5.5 Performance Payout Rates. Where campaigns offer performance-based earnings (per-view rates, per-lead bonuses, per-install rates, per-Shopify-sale commissions, minimum view thresholds, and maximum earning caps), the specific rates are displayed in the campaign details screen before you apply and in your earnings dashboard. Rates already locked into an accepted campaign are not retroactively changed during the campaign period.

5.6 App Install Attribution. For App Install Campaigns, your payouts are calculated based on verified install data provided by Apple's Analytics Reporting API. Install counts reflect downloads attributed to the unique App Store Campaign Link generated for you within the campaign. Apple's data may be delayed up to 72 hours. Foteza does not guarantee a minimum number of installs. You agree not to artificially inflate install counts through any means, including bot-generated clicks, incentivized installs without disclosure, or other fraudulent methods. Violation of this section results in immediate account suspension and forfeiture of all related earnings.

5.7 Shopify Discount Code Campaigns. For campaigns with Shopify purchase attribution, Foteza will generate a unique discount code for you ("Your Code") linked to the business's Shopify store. You earn a commission for each verified Shopify purchase made using Your Code.

You agree that:

• (a) You will only share Your Code through your own social media content, bio links, and videos as part of the campaign — not through coupon sites, paid advertising, or any channel that generates purchases without genuine content

• (b) You will not share, sell, or distribute Your Code to persons other than your genuine audience

• (c) Refunded, cancelled, or fraudulently generated Shopify orders may be deducted from your commission total at any time, including after initial payment

• (d) The business's Shopify webhook data is the authoritative source for purchase attribution. Technical delays in webhook delivery may affect timing of commission credit but not the eventual accuracy of your payout.

5.8 Earnings Not Guaranteed. Foteza does not guarantee any minimum earnings, views, leads, installs, or Shopify sales from any campaign. Your earnings depend on your content quality, audience, and factors outside Foteza's control.

5.9 No Employment. Nothing in these Terms creates an employment relationship between you and Foteza or you and any business on the Platform. You are an independent contractor.

6. Advertising Disclosure & FTC Compliance

When you post content on your social media accounts as part of a paid Foteza campaign (where you receive any payment, commission, gift, or other compensation), you are required by law to clearly and conspicuously disclose your paid relationship with the brand. This includes:

• United States: FTC Endorsement Guides (16 CFR Part 255)

• Canada: Competition Bureau guidelines on influencer marketing

• United Kingdom: ASA and CAP guidelines

Required disclosures include language such as #Ad, #Sponsored, or "Paid partnership with [Brand]" placed prominently in your post or video. Simply tagging a brand or using affiliate links without disclosure is not sufficient.

Failure to include required disclosures may result in regulatory action against you personally. Foteza is not liable for your failure to disclose. Repeated non-compliance may result in account suspension.

7. Social Media Platform Compliance

7.1 You are responsible for ensuring your participation in Foteza campaigns complies with the terms of service of all social media platforms on which you post content (TikTok, Instagram, YouTube, etc.), including their branded content, affiliate link, and creator monetization policies.

7.2 Foteza does not monitor your compliance with third-party platform policies and is not liable for any enforcement action taken by those platforms against your account, including account suspension, content removal, or demonetization.

8. Content Integrity & View Authenticity

8.1 Prohibition on Fake Engagement. When you post content on your social media accounts as part of any Foteza campaign, you expressly agree that you will never, directly or indirectly:

• Purchase views, likes, comments, followers, shares, Shopify purchases, app installs, or any other engagement metric from any third-party service ("Fake Engagement")

• Use bots, scripts, automated tools, or paid networks to artificially inflate any performance metrics associated with a Foteza campaign

• Instruct, encourage, or assist others to do any of the above on your behalf

This obligation applies to all content produced under a Foteza campaign briefing, regardless of the platform (TikTok, Instagram, YouTube, etc.).

8.2 Detection & Monitoring. Foteza's platform uses automated analytics to detect statistical anomalies including: abnormal view velocity, disproportionately low engagement ratios, sudden unexplained performance spikes, and Shopify purchase patterns inconsistent with genuine consumer behaviour.

8.3 Consequences of Violation. If Foteza determines, in its reasonable judgment, that you have purchased or otherwise artificially generated Fake Engagement in connection with any campaign:

• (a) Your account will be immediately and permanently suspended

• (b) All pending and future payouts related to the affected campaign will be forfeited

• (c) The business paying for that campaign will receive a full or partial refund of any fraudulently obtained payout

• (d) Foteza reserves the right to pursue civil remedies including recovery of any payments already made to you for fraudulently reported performance

• (e) You may be reported to the applicable social media platforms

8.4 Right to Challenge. If you believe you were flagged in error, you may submit a written challenge to support@foteza.com within 14 days of receiving notice of suspension. Foteza will review your challenge within 10 business days. Submitting a challenge does not automatically reinstate your account.

9. Indemnification

You agree to indemnify, defend, and hold harmless Foteza, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your content, posts, or actions on social media platforms; (b) your violation of any advertising disclosure obligation; (c) your violation of any social media platform's terms of service; (d) your violation of these Terms; (e) your Fake Engagement; or (f) your filming activities.

10. Goals & Analytics

The Platform offers analytics and goal-tracking features based on campaign performance data. These are provided for informational purposes only. Foteza does not guarantee specific earning outcomes or content performance results. Social media API data used for analytics may be delayed up to 48 hours and is subject to third-party API availability.

11. Fozi AI Assistant

The Platform includes an AI-powered chat assistant ("Fozi AI") that provides content strategy suggestions and campaign guidance. Fozi AI responses are generated by automated AI systems. They are not professional legal, financial, or marketing advice. You use Fozi AI at your own risk. Foteza is not liable for decisions made in reliance on Fozi AI outputs.

12. Acceptable Use

You agree not to:

• Misrepresent your skills, equipment, or location

• Submit AI-generated or stock footage as original content

• Harass or intimidate any business user or Foteza staff

• Circumvent any payment obligations by transacting with businesses outside the Platform

• Use the Platform to spam, phish, or conduct any fraudulent activity

13. Intellectual Property

Foteza retains all rights to the Platform design, code, and trademarks. Your profile content (portfolio images, reels) remains your property, but you grant Foteza a licence to display it within the Platform for matching and promotional purposes.

14. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS." FOTEZA DOES NOT GUARANTEE A MINIMUM NUMBER OF CAMPAIGN OPPORTUNITIES, EARNINGS, VIEWS, LEADS, INSTALLS, OR SHOPIFY SALES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOTEZA'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) FEES PAID TO FOTEZA ON YOUR BEHALF IN THE 3 MONTHS PRIOR TO THE CLAIM OR (B) CAD $100.

15. Term & Termination

These Terms remain in effect while you use the Platform. Foteza may terminate or suspend your account for violations of these Terms, fraudulent activity, or repeated poor-quality submissions. Outstanding approved earnings will be paid out following termination.

16. Changes to These Terms

We may update these Terms at any time. We will notify you via the app or email. Continued use of the Platform after the effective date of changes constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the Province of Manitoba, Canada. Any disputes shall be resolved in the courts of Winnipeg, Manitoba.
